Solvion Health Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the websites, mobile applications, patient portals, and related online services operated by Solvion Health (collectively, the “Site”), as well as your use of any non clinical services provided through the Site (collectively, the “Services”).
Please read these Terms carefully before using the Site or Services. By accessing or using the Site or Services, you agree to be bound by these Terms and by our Privacy Policy and Notice of Privacy Practices, which are incorporated by reference. If you do not agree, you must not access or use the Site or Services.
These Terms are not a substitute for any informed consent to medical treatment that you may be asked to sign when receiving clinical care from a licensed health care professional.
1. Solvion Health structure and relationship to affiliated medical practices
Solvion Health, Inc. (together with its subsidiaries, “Solvion,” “we,” “us,” or “our”) is a management and technology company that provides non clinical administrative, technology, and support services to independent professional entities that employ or contract with licensed health care professionals (each an “Affiliated Medical Practice,” and collectively, the “Affiliated Practices”).
Solvion does not practice medicine and does not provide medical, nursing, or professional health care services. All clinical telehealth and in person services accessible through the Site are provided exclusively by the Affiliated Practices and the licensed physicians and other health care professionals who work for or with them (collectively, the “Providers”).
Any reference in these Terms or on the Site to “Services” that involve clinical care refers to services provided by the Affiliated Practices and Providers, not by Solvion itself.
You understand and agree that:
- Your doctor patient relationship is solely with the Provider and Affiliated Practice that you choose.
- Solvion’s role is limited to providing technology, administrative, customer support, billing, and related non clinical services.
- Solvion is not responsible for the medical judgment or decisions of any Provider or Affiliated Practice.
2. Acceptance of terms and changes
By accessing, browsing, or using the Site or Services, you represent that you are at least eighteen years of age and have the legal capacity to enter into a binding contract, and you agree to be bound by these Terms.
We may revise and update these Terms at any time in our sole discretion. When we make changes, we will update the “Last updated” date above and may provide additional notice as appropriate. Your continued use of the Site or Services after the updated Terms are posted means that you accept and agree to the changes. If you do not agree, you must stop using the Site and Services.
3. The Site is not medical advice and does not replace your primary care
The content on the Site, including text, graphics, images, audio, video, educational materials, and other information (collectively, “Content”), is provided for general informational purposes only.
The Content:
- Is not intended to be a substitute for professional medical advice, diagnosis, or treatment.
- May not reflect the most current medical research or regulatory guidance.
- Is not tailored to your unique medical history, conditions, or needs.
You should always seek the advice of your physician or other qualified health care provider with any questions you may have regarding a medical condition or before starting, stopping, or changing any treatment or medication.
Nothing on the Site or in the Services should be construed as:
- Establishing a doctor patient relationship with Solvion.
- A guarantee of a particular outcome or result.
- A recommendation or endorsement of any specific test, Provider, medication, product, or treatment.
4. Not for emergencies
If you are experiencing a medical emergency, call 911 immediately.
The Site and Services are not appropriate for emergency or urgent medical situations. You must not use the Site:
- To seek emergency care or crisis intervention.
- For conditions requiring immediate, in person evaluation or procedures.
If a Provider or the Site ever advises you to seek in person or emergency care, you agree to follow that advice.
5. Eligibility and patient responsibilities
By using the Site or Services, you represent and warrant that:
- You are at least eighteen years old.
- You are physically located in a United States state where the relevant Affiliated Practice and Provider are licensed at the time of each telehealth visit.
- You will provide accurate, truthful, and complete information about your identity, location, medical history, medications, allergies, and symptoms.
- You will promptly update your information if it changes, including your address, contact details, and health history.
You understand that Providers will rely on the information you provide and that incomplete or inaccurate information can lead to incorrect or delayed care, including inappropriate treatment or medication.
The Affiliated Practices reserve the right to decline or discontinue care if you do not satisfy eligibility criteria, do not provide requested information, or misuse the Services.
6. Telehealth services and risks
Telehealth refers to the delivery of health care services using electronic communications and information technology, including secure video, audio, messaging, and remote monitoring, when you and a Provider are not in the same physical location. Telehealth has potential benefits and risks, including but not limited to those recognized by federal guidance and professional organizations.
By using telehealth Services, you acknowledge and agree that:
- Information transmitted electronically may not always be sufficient for decision making.
- There may be delays or interruptions due to equipment failures, connectivity problems, or software issues.
- In rare cases, security protocols could fail and lead to a breach of privacy or confidentiality.
- Some clinical services are not appropriate for telehealth and may require in person evaluation.
- Your Provider may determine that telehealth is not appropriate in whole or in part for your care and may refer you to in person services or other Providers.
You consent to the use of telehealth by the Providers and Affiliated Practices and agree that your use of telehealth is voluntary. You may withdraw your consent at any time by not scheduling or attending further telehealth visits, although this may limit access to certain Services.
7. Laboratory testing and diagnostic services
To assess your health and determine whether certain treatments are clinically appropriate, the Provider may order laboratory tests or other diagnostic services from third party laboratories or diagnostic vendors (collectively, the “Labs”).
You acknowledge and agree that:
- Labs are independent of Solvion and the Affiliated Practices.
- Fees for Lab services are set by the Labs or diagnostic vendors, not by Solvion.
- You are financially responsible for charges associated with Lab services, including repeat or additional tests that are medically indicated.
- Lab turnaround times and processes are controlled by the Labs and may vary.
You authorize the Labs to release test results and related information directly to the Affiliated Practices and Providers, and you authorize the Affiliated Practices and Providers to use those results in providing your care.
8. Prescription, controlled medications, and peptide therapy
8.1 General prescribing standards and treatment policy
Providers may prescribe medications, recommend supplements, or suggest other treatments only when clinically appropriate in their independent professional judgment and only after establishing a provider patient relationship consistent with applicable law.
You understand and agree that:
- There is no guarantee that you will receive any particular medication, hormone therapy, supplement, or treatment plan.
- Prescriptions will be limited to the quantity and duration that your Provider determines is clinically appropriate and legally permitted.
- Your Provider may require periodic follow up visits, Lab testing, or monitoring as a condition of renewing or refilling prescriptions.
- If you do not complete required Lab work, visits, or monitoring, your Provider may refuse to initiate or continue treatment.
- Any medication prescribed is for your personal use only and must not be shared, sold, or given to any other person.
Solvion and the Affiliated Practices do not manufacture, compound, or dispense prescription medications. Medications are dispensed by independent pharmacies. Any issues related to dispensing, shipping, or pricing of medications should be addressed with the pharmacy directly.
8.2 Controlled medications
Solvion and the Affiliated Practices do not operate as an online pharmacy and do not provide internet only prescribing of controlled substances. Any prescription for a controlled medication will be issued only when clinically appropriate and legally permissible, after an appropriate evaluation and establishment of a provider patient relationship, and subject to any required in person examination, monitoring, or documentation.
The Affiliated Practices do not prescribe opioid medications for chronic pain management, and do not prescribe benzodiazepines, barbiturates, or similar sedative medications for long term management of anxiety, insomnia, or related conditions through this telehealth service. Solvion and the Affiliated Practices reserve the right to decline to prescribe any controlled substance for any reason consistent with clinical judgment and applicable law.
8.3 Peptides and other hormone related compounds
Any use of hormone related medications, including testosterone, estrogen, progesterone, thyroid hormone, and other endocrine therapies, will follow applicable standards of care and legal requirements.
Solvion and the Affiliated Practices do not sell or distribute products labeled “for research use only,” “not for human use,” or similar designations, and do not prescribe or dispense peptide or anabolic products obtained from unregulated or non pharmacy sources. To the extent peptide based therapies or compounded medications are used, they will be ordered only from licensed pharmacies and only when such use is permitted under federal and state law and is supported by the treating Provider’s clinical judgment.
You agree that you will not seek prescriptions from Solvion or the Affiliated Practices for the purpose of diversion, resale, performance enhancement in competitive sports, or any other non medical or unlawful purpose.
8.4 No guarantee of continued prescribing
Providers may change, pause, or discontinue medications at any time if they determine that a prescription is no longer clinically indicated, is unsafe, or is not permitted under applicable law or professional standards. Failure to complete recommended laboratory testing, monitoring, or follow up visits may result in refusal to initiate or continue prescriptions.
9. Memberships, pricing, billing, and payments
Certain Services may be offered on a subscription or membership basis, and others may be billed as separate fees for visits, Lab testing, or products.
By providing a payment method and submitting a purchase or enrollment request, you authorize Solvion to:
- Charge the payment method for applicable fees, including membership fees, visit fees, Lab pass through charges, and product costs, as displayed to you at checkout.
- Use third party payment processors to process transactions on our behalf.
You understand and agree that:
- Fees for clinical services are charged by the Affiliated Practices, and product costs (including medications and supplements) are charged by pharmacies or other vendors. Solvion may facilitate billing and collection for those parties as a payment agent.
- Before completing a purchase, you may be shown an itemized breakdown of charges attributable to Solvion, the Affiliated Practices, and third party vendors where available.
- If you enroll in a recurring membership, your membership will automatically renew at the end of each billing period and your payment method will be automatically charged, unless you cancel in accordance with the cancellation instructions presented to you.
- You are responsible for all charges incurred under your account, including applicable taxes, and for keeping your payment method information current and valid.
Any specific cancellation, refund, or rescheduling policies for memberships and services will be described in your membership materials, on the Site, or in separate agreements. To the extent of any conflict, those specific terms will govern.
10. Not an insurance product
Solvion and the Affiliated Practices are not insurance companies, health maintenance organizations, or other insurers. The Services are not insurance or a substitute for health insurance.
The amounts you pay to Solvion, the Affiliated Practices, Labs, or pharmacies are not insurance premiums and do not guarantee coverage or payment by any third party payer. If you desire health insurance or other coverage, you must obtain it from a separate insurance provider.
11. Account registration, security, and acceptable use
To access certain portions of the Site or Services, you may be required to create an account and set up login credentials.
You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information as needed.
- Keep your username and password confidential and not share them with any other person.
- Notify us promptly of any unauthorized use of your account or any suspected security breach.
You are responsible for all activity that occurs under your account.
You further agree that you will not:
- Use the Site or Services for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any portion of the Site, Services, or related systems.
- Use any automated tools such as scrapers, crawlers, or bots to access or copy data from the Site.
- Upload, transmit, or share any content that is unlawful, harmful, abusive, harassing, defamatory, obscene, infringing, or otherwise objectionable.
- Interfere with or disrupt the operation or security of the Site or Services.
We may suspend, restrict, or terminate your access to the Site or Services at any time if we believe that you have violated these Terms or engaged in improper or unsafe use.
12. Electronic communications, text messages, and recordings
By using the Site or Services, you consent to receiving electronic communications from us and from the Affiliated Practices, including emails, portal messages, and push notifications. You agree that electronic communications satisfy any legal requirement that communications be in writing.
If you provide a mobile phone number, you consent to receiving calls and text messages (including automated or prerecorded messages) regarding:
- Appointment confirmations and reminders.
- Treatment plan reminders and follow ups.
- Account and billing notifications.
- Educational or promotional information related to the Services, as permitted by law.
Message and data rates may apply. You can opt out of marketing text messages by following the instructions in those messages, such as replying “STOP.” Opting out of certain communications may limit your ability to use some features of the Services.
Providers and Affiliated Practices may record audio and video telehealth visits for quality assurance, documentation, or training purposes, where permitted by law and with any required consent. By using telehealth Services, you consent to such recordings, subject to applicable law and our Privacy Policy and Notice of Privacy Practices.
13. Intellectual property
The Site, Services, and all Content, including text, graphics, logos, icons, images, audio, video, software, and other materials, are owned by or licensed to Solvion and are protected by United States and international copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, Solvion grants you a limited, revocable, non exclusive, non transferable license to access and use the Site and Services for your personal, non commercial use.
You agree that you will not:
- Copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any part of the Site or Content, except as necessary for your personal use permitted by these Terms.
- Remove or alter any copyright, trademark, or other proprietary notices.
- Use any trademarks, trade dress, logos, or other brand features of Solvion without our prior written consent.
14. Third party services, pharmacies, labs, and links
The Site may contain links to third party websites, resources, or services, including pharmacies, Labs, diagnostic vendors, or other health and wellness service providers. These links are provided for your convenience only.
Solvion does not:
- Control or endorse third party websites or services.
- Guarantee the accuracy, completeness, or quality of any third party content or services.
- Assume any responsibility or liability for any third party websites or services or for any transactions you may conduct with third parties.
Your use of third party websites and services is at your own risk and subject to the terms and policies of those third parties.
15. Disclaimers of warranties
Your use of the Site, Services, and Content is at your sole risk.
To the fullest extent permitted by law, Solvion and the Affiliated Practices, and their respective owners, directors, officers, employees, contractors, and agents, disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:
- Any implied warranties of merchantability, fitness for a particular purpose, title, or non infringement.
- Any warranties arising from course of dealing, course of performance, or usage of trade.
Without limiting the foregoing, we do not warrant that:
- The Site or Services will be uninterrupted, secure, or error free.
- Any results or outcomes that may be obtained from the use of the Site or Services will be accurate, reliable, or meet your expectations.
- The Site, Services, or servers are free of viruses or other harmful components.
Any reliance you place on information obtained through the Site or Services is strictly at your own risk.
16. Limitation of liability
To the fullest extent permitted by law, in no event will Solvion, the Affiliated Practices, or any of their respective owners, directors, officers, employees, contractors, or agents be liable for:
- Any indirect, incidental, special, consequential, exemplary, or punitive damages.
- Any loss of profits, revenue, data, goodwill, or other intangible losses.
These limitations apply whether the alleged liability is based on contract, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to the Site, Services, Content, or these Terms will not exceed the amount you have paid to Solvion for Services during the three month period immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.
17. Indemnification
You agree to indemnify, defend, and hold harmless Solvion, the Affiliated Practices, and their respective owners, directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to:
- Your access to or use of the Site, Services, or Content.
- Your violation of these Terms or any applicable law or regulation.
- Your negligent or wrongful conduct or that of any person accessing the Site or Services using your account.
18. Dispute resolution, arbitration, and class action waiver
Please read this section carefully. It affects your legal rights.
To the fullest extent permitted by law, you and Solvion agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services that cannot be resolved informally will be resolved by binding arbitration on an individual basis, rather than in court, except as otherwise provided below.
The Federal Arbitration Act and applicable federal arbitration law govern this agreement to arbitrate. The arbitration will be administered by a reputable arbitration provider under its applicable rules. The arbitration will take place in Harris County, Texas, unless you and Solvion agree otherwise.
Each party will bear its own attorneys’ fees and costs, except as otherwise required by law or the arbitration provider’s rules.
You and Solvion agree that:
- No class or representative actions are permitted.
- You may bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
If the class action waiver is found to be unenforceable in a particular case, then the agreement to arbitrate will be unenforceable as to that case and the dispute will be decided by a court of competent jurisdiction, but the class action waiver will remain in effect to the fullest extent permitted by law.
Nothing in this section prevents either party from:
- Seeking temporary or preliminary injunctive relief in court to preserve the status quo pending arbitration.
- Bringing an individual action in small claims court if the claim qualifies.
19. Governing law and jurisdiction
These Terms and any dispute arising out of or relating to them, the Site, or the Services will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles, except where preempted by federal law.
Subject to the arbitration provisions above, you agree that any legal suit, action, or proceeding arising out of or relating to these Terms will be instituted exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
20. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy and Notice of Privacy Practices and any additional terms presented to you for specific Services, constitute the entire agreement between you and Solvion regarding the Site and Services.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
No waiver. Any failure by us to enforce any provision of these Terms is not a waiver of such provision or any other provision.
Assignment. You may not assign these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms at any time without notice.
